Corporate Counsel 

The Corporate Counsel provides front line legal advice and assistance to all business units across a range of diverse topics.  The Corporate Counsel is expected to provide sound professional guidance on legal issues that impact upon the rights, obligations and responsibilities of Visit Victoria (and its subsidiary the Melbourne Convention Bureau).

Key Accountabilities

  • Provide a diverse expertise in law, including identifying emerging issues that will impact on the delivery of Visit Victoria and MCB’s objectives
  • Ensure all contractual arrangements are subject to professional legal review
  • Provide legal advice to stakeholders on a diverse range of topics including funding agreements, licences, collaborative marketing agreements, commercial contracts, procurement, grants and sponsorship, government agreements and MOUs, disclaimers, privacy and records management, probity and conflict of interest, employment matters, trade marks, competition and trade lotteries, tax and issues relating to international operations, advertising standards, information technology and data management, governance and compliance and intellectual property
  • Draft and develop legal resources and training (eg. template agreements)
  • Assess and determining the most cost effective solution for provision of legal advice (including legal advice in respect of international offices)
  • Brief and manage external legal service providers, within budget
  • Build organisational governance and capability through legal compliance risk assessment, making recommendations and advising / coaching / training leaders
  • Provide proactive support and guidance to the Company Secretary to ensure Visit Victoria is legally compliant with Corporate/Company Law, Regulations and Legislation
  • Establish strong and collaborative relationships with internal and external stakeholders
  • Manage one direct report (legal counsel)
  • Work collaboratively with Visit Victoria’s Procurement Manager and other senior leaders to support the Procurement function

About You

  • Demonstrated expertise in the interpretation and application of legislation and regulations
  • Demonstrated experience in dealing with and influencing external stakeholders and government entities
  • Demonstrated experience in negotiating and managing complex commercial agreements and contracts
  • Demonstrated ability to draft complex legal agreements
  • Ability to work independently and with minimal supervision
  • Ability to work in a fast-paced environment
  • Excellent time management, communications, decision-making, presentation, human relations, and organisational skills
  • High level interpersonal skills, proven ability to develop effective working relationships with a wide range of key stakeholders


  • Tertiary qualification in law
  • Admission as a legal practitioner to the Supreme Court of an Australian State or Territory and current practicing certificate
  • At least 8 years of relevant experience in private practice or an in-house legal function

Position specific requirements

  • Requirement to work outside of normal hours.
  • Provision of legal advice and support to VV and MCB’s international offices
